General Information
Terms of Payment:
• FOB (Minnesota) Orders are payable net 30 days from bill of lading
• DI / Ex-Works Orders are payable net 60 days from bill of lading
• Past due balances will be billed for interest at 2.0% per month, beginning 30 days after due date

Sampling and Market Support:
WorldWide Cellars will accept bill backs from Buyer for 50% of sampling cost, up to 2% of net sales. Valid bill backs will be credited to your account via credit memo. Sampling allowance is contingent upon WorldWide Cellars receiving monthly depletion reports from Buyer.

Following are some limitations to our bill-back policy that allow us to price our wines as competitively as possible:

• WorldWide Cellars will NOT accept 100% bill backs under any circumstances, including for market visits by WorldWide Cellars representatives.
• WorldWide Cellars will NOT honor bill backs from customers with past-due accounts or not in good standing. 
• No bill backs for restaurant wine lists will be accepted by WorldWide Cellars.
• Credits may not be deducted from invoices unless previously authorized by way of a credit memo.
• No exceptions to this policy will be accepted unless agreed in advance between buyer and seller in writing.

DI Orders MAY NOT be subject to sampling support. Sampling support for DI orders is on a winery-by-winery basis.

Franchise States:
We believe in long-term relationships! But we also believe in a period of courtship. Therefore, in Franchise states, we will request a letter of release so that each of us can feel comfortable that the correct choice has been made before taking the “next step”.

Additional Information:
Claims for shortage or damage should be made to the transportation company nominated by the Buyer immediately upon receipt of goods. There is no allowance for breakage. Goods are carefully checked and packed. Shipment is the risk of the consignee. Merchandise returned without permission will not be accepted.

Title to the product shall remain with the Seller until all sums owed by the Buyer are fully paid. Buyer shall not pledge, encumber or grant as a security interest any product to which Seller retains title. Buyer shall not transfer products to which seller retains title to any other party other than in the ordinary course of business.

Prices and vintages, and all terms and conditions of sale are subject to change at any time without notice.

We reserve the right to allocate our stocks - which are, by nature, limited in availability.
